Moore Barlow advises BANAIR (Holdings) on its acquisition of Bright Structures Limited

BANAIR is a growing UK based engineering group with manufacturing in the UK and Poland, and sales markets mainly in the EU, USA and Asia. Working on the design and development of innovative industrial equipment for military and governments worldwide, for many years BANAIR focused solely on its patented rack storage solutions for high-density space management, but has more recently been diversifying its portfolio of solutions to include other engineered products, including hurricane resistant tents and LAMS shelters, heavy armour ramps and more.

Bright Structures Limited (trading as ‘EasiBridge®’) has developed a range of innovative lightweight bridging systems for military and emergency response applications and has a wide portfolio of patents and other IP rights granted on its technology both in UK, Europe, USA and further afield.

Through this acquisition, Bright Structures’ products will be manufactured in house by BANAIR and sold worldwide into existing and new company markets. It will also offer BANAIR the opportunity to integrate patented works of Bright Structures’ into its existing product portfolio.

As part of the deal, Doctor Stephen Bright, the inventor of EasiBridge® and other solutions, has joined BANAIR as Technical Director and will help spearhead the commercialisation of these great British innovations.

Moore Barlow advised on the acquisition from start to finish, with involvement from the heads of terms through to completion. Given the nature of the target, a preliminary notification was also made to the Investment and Security Unit ahead of the implementation of the National Security and Investment Act. Separately, Moore Barlow’s commercial property team advised on the acquisition of a new production facility which will be used to manufacture both BANAIR’s existing products, but also those brought on board by the acquisition of Bright Structures.
